About these terms
These Terms of Service describe the binding relationship between Exodus Tech, LLC ("Exodus Tech", "we", "us") and the business entity or organization ("Customer", "you") accessing or using Exodus Fusion, including its authorized users. Exodus Fusion provides connected cloud software for customer records, estimates, scheduling, jobs, invoices, payments, communications, and business workflow automations.
You accept and agree to these Terms by checking the agreement box during account registration, executing an Order Form referencing these Terms, or accessing and using the platform. If you do not agree to these Terms, you may not access or use Exodus Fusion.
In the event of a conflict between these Terms and any other document, the following order of precedence governs: (1) any individually executed, written Order Form or Enterprise Agreement signed by authorized representatives of both parties; (2) these Terms of Service; and (3) platform documentation, auxiliary policies, or published guides.
Accounts and access
Exodus Fusion is designed and intended exclusively for commercial business entities and individuals who are at least 18 years of age. By creating an account, you represent and warrant that the business is validly existing and that the individual registering holds full legal authority to act for and bind the business entity to these Terms.
Customer is solely responsible for maintaining the confidentiality and security of login credentials and for all activities conducted under its user accounts. You agree to immediately notify Exodus Tech of any unauthorized account access, credential compromise, or security incident at legal@exodustech.us.
Subscriptions and billing
Exodus Fusion is billed on a subscription basis across Core, Growth, and Enterprise plans. Plan features and entitlements are detailed on the published pricing page and in product specifications.
Initial account registration does not require a payment card. Paid subscriptions begin upon upgrading via Stripe checkout and recur automatically on the selected billing interval (monthly or annually) until affirmatively canceled.
In the event a recurring subscription charge fails, Customer is granted a 7-day cure period while automatic payment retries occur before platform and dashboard access is suspended.
Exodus Tech reserves the right to adjust subscription fees upon providing at least 30 days' advance written notice via email to the primary account owner and via an administrative alert in the billing settings dashboard. Continued access or use of the service following the effective date of a price adjustment constitutes acceptance of the modified fees.
Your business and customers
Customer remains solely responsible for its underlying business operations, personnel, customer relationships, job fulfillment, estimates, schedules, invoices, local and state tax liabilities, and customer-facing commitments. Exodus Fusion provides software tools only and does not perform, warrant, or guarantee any underlying field or contractor services.
Customer is solely responsible for the accuracy of all customer records, form submissions, and automated workflows configured in the platform, and for securing all legally necessary consents and permissions from its end customers before uploading data or transmitting communications.
Acceptable use
Customer and its authorized users must use Exodus Fusion lawfully, ethically, and only for authorized business purposes. The following activities are strictly prohibited:
- Sending unlawful, deceptive, harassing, fraudulent, or unsolicited communications, or using purchased, rented, or scraped contact lists.
- Transmitting marketing emails or SMS in violation of CAN-SPAM, the TCPA, or applicable telecommunications laws, or failing to honor opt-out and unsubscribe requests promptly.
- Uploading or transmitting content that infringes any intellectual property, privacy, or proprietary right, or contains viruses, trojans, or malicious code.
- Attempting unauthorized access, reverse engineering, bypassing account or feature access controls, or interfering with system performance or security for other tenants.
- Misrepresenting identity or utilizing the platform for fraudulent or unlawful business schemes.
Violations of acceptable use may result in immediate suspension or termination of account access without refund.
Customer data and ownership
Customer retains all right, title, and ownership interest in all records, data, files, and customer information uploaded or entered into Exodus Fusion ("Customer Data"). Customer grants Exodus Tech and its operational infrastructure providers a limited, non-exclusive license to store, process, and transmit Customer Data solely to provide, maintain, and secure the platform.
Exodus Tech and its licensors retain all right, title, and interest in and to the Exodus Fusion software, APIs, interfaces, designs, documentation, and underlying technologies. No ownership rights are transferred under these Terms.
Handling of personal information is governed by our Privacy Policy. Customer Data is never sold or shared with third parties for unrelated marketing purposes.
Payments, messaging, and providers
Exodus Fusion integrates third-party infrastructure for payment processing, communications, and delivery. Customer agrees to comply with the applicable terms of these integrated providers.
Customer payment processing is facilitated through Stripe Connect and is subject to the Stripe Connected Account Agreement (stripe.com/connect-account/legal), which incorporates the Stripe Services Agreement. By connecting Stripe, Customer authorizes Exodus Tech to initiate transaction instructions on its behalf.
Exodus Tech is not a bank, payment processor, or money services business. All dispute resolutions, chargebacks, customer refunds, processing fees, and merchant reserve requirements remain the sole responsibility of Customer and Stripe. Exodus Fusion subscription fees are billed independently.
Telephony and messaging services are powered through Telnyx and email communications through Resend. Outbound SMS requires both carrier registration approval (such as A2P 10DLC or Toll-Free Verification) and platform compliance verification of the Customer's hosted enrollment form and disclosure. Customer must obtain explicit, independent consent through the approved hosted enrollment form and ensure all messaging strictly complies with telecommunications laws, carrier rules, and consumer consent standards. Reply STOP to unsubscribe and HELP or INFO for assistance. Message and data rates may apply.
Availability and changes
Exodus Fusion is provided on an "as is" and "as available" basis. While we strive for continuous availability, access may occasionally be interrupted for scheduled maintenance, system enhancements, security mitigation, or third-party provider outages.
Exodus Fusion does not warrant uninterrupted or error-free operation, and does not provide an uptime guarantee or service-level credits under standard subscription tiers unless expressly agreed in an executed Enterprise Order Form. The platform must not be relied upon as an emergency or critical life-safety communication system.
Cancellation and suspension
Customer may cancel a paid subscription at any time through the Stripe Customer Portal accessible in Billing settings. Cancellation takes effect at the conclusion of the then-current billing period, and Customer retains platform access until that date.
All subscription fees paid to Exodus Tech are non-refundable except where expressly required by applicable law. Mid-period cancellations are not entitled to cash refunds or pro-rated credits. Plan upgrades are prorated immediately, while downgrades take effect at the start of the next renewal cycle.
Customer may request a manual export of core business data (customers, estimates, invoices, and job records) by submitting a support ticket within 30 days following subscription cancellation. Following this 30-day retrieval window, access is closed.
Tenant databases and active data stores are scheduled for permanent purge 60 to 90 days after account termination. Integration webhook logs are pruned after 90 days, lead form submitter IPs are anonymized after 30 days, and automation execution histories are pruned after 365 days. As a narrow exception, immutable SMS compliance evidence and version disclosures follow their approved retention schedules and active legal holds; evidence needed for an active enrollment remains in place. Separate suppression and keyword replay-control records support opt-out enforcement and protection against replayed requests while the messaging program operates. Encrypted disaster recovery backups rotate on a rolling 90-day cycle and cannot be selectively excised on demand.
Liability and governing law
To the maximum extent permitted by applicable law, in no event will Exodus Tech, LLC, its officers, employees, or licensors be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, business revenue, data, goodwill, or operational interruption, whether arising under contract, tort, warranty, or strict liability.
The total aggregate liability of Exodus Tech, LLC arising out of or relating to these Terms or Exodus Fusion, from all causes of action, is strictly capped at the total fees actually paid by Customer to Exodus Tech, LLC in the 12 months immediately preceding the event giving rise to liability, or $100.00 USD if Customer has used the service without fee.
These Terms and any dispute arising out of or related hereto are governed exclusively by the laws of the State of Florida, without giving effect to any conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, controversy, or claim arising out of or relating to these Terms will first be subject to good-faith informal executive negotiation for a minimum of 30 days. If unresolved, the claim will be resolved exclusively by confidential, binding individual arbitration administered by the American Arbitration Association (AAA) or JAMS in the State of Florida under its commercial arbitration rules. The parties mutually waive any right to a trial by jury and agree that all claims must be brought on an individual basis, waiving any right to participate in a class, collective, or representative action.
Changes and contact
Exodus Tech reserves the right to modify these Terms periodically. For material changes, we will provide at least 30 days' advance notice via email to the primary account owner and through an announcement in the dashboard. Continued use of Exodus Fusion after the effective date of revisions constitutes acceptance.
Formal legal notices to Exodus Tech, LLC must be sent in writing via certified mail (return receipt requested) or nationally recognized overnight courier to Exodus Tech, LLC's registered office or registered agent in the State of Florida, with a mandatory electronic copy emailed to legal@exodustech.us.
